Terms of Service

Last updated October 13, 2026

These terms apply when you use openupshop.com or buy a service from Open Up Shop ("Open Up Shop," "we," "us"). By placing an order you agree to them. If you have questions, email info@openupshop.com before you buy.

We are not a law firm or accounting firm. We prepare and submit business filings and build your brand and website based on the information you give us. We do not give legal, tax or financial advice. For advice about your situation, talk to a licensed attorney or accountant.

1. Our services

Depending on the package or add-on you buy, we may form your LLC with your state, apply for your federal EIN, prepare an operating agreement, provide registered agent service, design your logo, build and host your website, register your domain, set up business email, connect online payments and help you set up a card terminal. What each package includes is listed on our pricing section at the time you buy.

2. Your information and approvals

3. Prices, state fees and payment

4. Timing

State and IRS processing times are set by those agencies and are outside our control. Turnaround times we give for design and website work are estimates and depend on how quickly you provide information and approvals. We do not guarantee that a state will approve a particular business name or filing.

5. Websites, hosting and domains

6. Ownership

Once you have paid in full, you own your final logo files, the content of your website and your domain name. We may keep copies for our records and, unless you ask us not to, show your finished logo or website in our portfolio. Third-party software, fonts, plugins and stock images remain subject to their own licenses.

7. Third-party providers

We work with trusted providers to deliver our services, including state agencies, the IRS, filing and registered agent partners, Stripe and Klarna for payments, our hosting provider and Intermedia for business phone service. Their services are also subject to their own terms. We aren't responsible for outages, delays or decisions made by those providers, but we'll help you resolve problems.

8. Cancellations and refunds

Our Refund Policy explains when you can cancel and what can be refunded.

9. Limitation of liability

To the fullest extent allowed by law, Open Up Shop's total liability for any claim related to our services is limited to the service fees you paid us for the service involved. We are not liable for indirect or consequential damages, such as lost profits or lost business opportunities.

10. Governing law

These terms are governed by the laws of the State of Arizona. Any dispute will be handled in the state or federal courts located in Maricopa County, Arizona.

11. Changes

We may update these terms from time to time. The version posted here when you place your order applies to that order.
